In essence, Chris is saying they are not committing to building the 
track, only put it on the plan,  so we need to accept that, but then 
should stay over a million dollars.


I don't see any reason to offer the Port the rest of the farm, they will 
just use it to try to bargain the same price for more land.    If we 
start talking industrial land price for the rest, then they  will want 
the back 7 acres for that price. do you see any advantage to offering 
the front 20 acres to them now?


There is going to be huge capital gains on this sale so we have to 1031 
it.  How much time do you have between sale and purchase of two houses 
?   Can the port pay us say $100,000 when signing the agreement, and the 
rest at closing, but the $100,000 can sit there for six months before 
the sale goes through?  What starts the  clock;  purchase agreement or 
closing?   If they want to continue discussion, we need to know how to 
phrase the purchase contract and handle the earnest money to fit with 
1031 trade.


Once we have the trust done (hopefully on the 9th) i will have Andrea do 
the TEDRA for Matthew.

Mom says you have an attorney that can draft the trust for Matthew. 
Let's get that done so we are ready after the trust is done and they 
have chosen a school for kate.  Conditions are simple:
